The agreement

These terms, together with your order form and our Data Processing Agreement, form the contract between your organisation and TeamPulse. Where an order form conflicts with these terms, the order form wins.

The service

We provide the modules listed on your order form, for the number of employees recorded in the platform. Viewers who only read reports are not charged for.

We may change how a feature works, but we will not remove a module you are paying for during a term without notice and a credit.

Your data

Your data belongs to you. We claim no ownership over it, and we do not use it to train models that serve other customers.

You can export everything, in open formats, at any time, without asking us and without a fee.

Availability

We target 99.9% monthly availability, and publish actual uptime on our status page. Enterprise agreements carry a service credit regime for months where we miss it.

Planned maintenance happens inside published windows and is announced in advance.

Payment

Fees are as set out in your order form, invoiced annually in advance unless agreed otherwise. Invoices are due within 30 days.

We will not increase fees mid-term. At renewal, any increase is notified at least 60 days before the renewal date.

Term and termination

Either party may terminate for material breach that is not cured within 30 days of written notice.

On termination you have 30 days to export your data, after which we delete it and confirm in writing. There is no exit fee.

Liability

Neither party excludes liability for death, personal injury, fraud, or anything else that cannot lawfully be excluded.

Otherwise, each party’s aggregate liability is capped at the fees paid in the twelve months preceding the claim.

Governing law

These terms are governed by the laws of Kenya, and the courts of Nairobi have exclusive jurisdiction, unless your order form specifies otherwise.
